1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ceivis LLC ("Ceivis," "Digipae," "we," "us," or "our"), governing your access to and use of the Digipae mobile application and related services (the "Service").
By downloading, installing, accessing, or using Digipae, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the Service, including users who contribute content, information, or other materials.
2. Eligibility
To use Digipae, you must:
- Be at least 18 years of age
- Be a legal resident or citizen of the United States
- Have a valid U.S. mobile phone number
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable law
- Not be located in, or a national or resident of, any country subject to U.S. economic sanctions administered by OFAC
- Not be on the OFAC Specially Designated Nationals (SDN) list or any other sanctions list
By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate your account if we discover you do not meet these requirements.
3. Account Registration & Security
3.1 Registration
To use the Service, you must create an account by providing a valid U.S. mobile phone number and completing identity verification. You agree to provide accurate, current, and complete information and to keep it updated.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account PIN and login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use at support@digipae.com
- Ensuring that you log out of your account after each session on shared devices
3.3 One Account Per Person
You may only maintain one active Digipae account. Creating multiple accounts is prohibited and may result in termination of all associated accounts.
3.4 Account Credentials
Never share your account PIN, OTP codes, or login credentials with anyone, including Digipae employees. We will never ask for your PIN.
4. Services Provided
4.1 Core Services
Digipae provides the following financial services (subject to eligibility and verification):
- Digital Wallet: Store funds in a Digipae wallet for use within the Service
- Wallet Top-Up: Add funds to your wallet via debit or credit card (Stripe)
- Peer-to-Peer Transfers: Send money to other Digipae users by phone number
- Merchant Payments: Pay merchants via QR code scan
- Payment Requests: Request money from other users
- Split Bill: Split expenses equally among multiple users
- Payment Links: Personal payment link (digipae.com/pay/username)
- Identity Vault: Store and verify personal identity documents
- Bill Pay: Pay utility and household bills (available when enabled)
4.2 Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We may suspend the Service for maintenance, upgrades, or in response to security threats. We are not liable for losses resulting from service interruptions.
4.3 Wallet Funds
Funds held in your Digipae wallet are not FDIC-insured bank deposits and do not earn interest. Funds are held in trust accounts for the benefit of users. Digipae is not a bank. You should not use Digipae as a primary savings or investment vehicle.
5. Payment Terms
5.1 Transaction Fees
- Peer-to-peer transfers: Free
- Bill payments: $1.00 flat fee per transaction
- Merchant QR payments: Free for consumers
- Wallet top-up via card: Stripe processing fees may apply
Fees are subject to change with 30 days' notice.
5.2 Transaction Limits
- New accounts (first 24 hours): Maximum $100 per transaction, $200 per day
- Verified accounts: Limits based on verified identity and linked bank balance
- All transactions are subject to real-time balance verification
5.3 Refunds and Disputes
Completed transactions are generally final and non-reversible. To dispute a transaction, contact support@digipae.com within 60 days providing your transaction reference number and reason. We will investigate within 10 business days.
5.4 Error Resolution
If you believe an error has occurred, contact us at support@digipae.com within 60 days. We will acknowledge within 3 business days and resolve within 10 business days (or 20 days for complex cases).
6. Identity Verification (KYC/AML)
Digipae is required to comply with federal Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations under the Bank Secrecy Act. By using the Service, you agree to:
- Provide accurate identity information including government-issued ID and date of birth
- Complete identity verification before making financial transactions
- Update your information if it changes
- Allow us to verify your identity with third-party identity verification services (Socure)
- Allow us to screen your identity against OFAC sanctions lists and other watchlists
7. Prohibited Uses
You agree not to use Digipae for:
- Illegal activities, including money laundering, tax evasion, or financing terrorism
- Transactions involving illegal goods or services (drugs, weapons, human trafficking)
- Fraud, identity theft, or impersonating another person
- Gambling, lottery, or other games of chance prohibited by law
- Adult content, escort services, or any sexually explicit materials
- Pyramid schemes, multi-level marketing, or Ponzi schemes
- Transactions in sanctioned countries or with sanctioned individuals
- Circumventing transaction limits or verification requirements
- Reverse engineering, hacking, or attempting to compromise the Service
- Using automated tools, bots, or scripts to access the Service
- Any activity that violates applicable federal, state, or local laws
Violation of these prohibitions may result in immediate account termination, forfeiture of wallet funds (subject to legal requirements), and referral to law enforcement.
8. Intellectual Property
The Service and its content, including but not limited to text, graphics, logos, icons, images, software, and the "Digipae" name and branding, are owned by Ceivis LLC and protected by U.S. and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code, unless you have our written permission or applicable law permits it.
9. Termination & Suspension
9.1 Termination by You
You may close your account at any time through Profile → Settings → Delete Account, or by contacting support@digipae.com. Pending transactions will be processed before closure. Remaining wallet balance will be returned to your verified funding source where possible.
9.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- We suspect fraudulent, illegal, or abusive activity
- Required by law or regulatory authority
- You fail to complete required identity verification
- Your account poses a risk to other users or the Service
9.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Certain provisions of these Terms survive termination including Sections 8, 10, 11, 12, 13, 14, and 15.
10. Disclaimers
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from use of the Service will be accurate or reliable
- Any errors in the Service will be corrected
Digipae is not a bank, credit union, or licensed money transmitter in all jurisdictions. The Service facilitates payments but does not provide banking services, investment advice, or financial planning services.
11. Limitation of Liability
Our total liability to you for any claims shall not exceed the greater of:
- The amount you paid to us in the 12 months preceding the claim, or
- $100 USD
12. Indemnification
You agree to indemnify, defend, and hold harmless Ceivis LLC, its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service
- Your violation of any third-party rights
- Any content you submit or transmit through the Service
- Your violation of any applicable law or regulation
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions.
To the extent any dispute is not subject to arbitration under Section 15, you consent to the exclusive jurisdiction of the state and federal courts located in St. Louis County, Missouri.
14. Dispute Resolution
Before initiating any formal dispute, you agree to first contact us at support@digipae.com to attempt to resolve the issue informally. We will try to resolve disputes within 30 days of receiving your complaint.
If informal resolution fails, disputes shall be resolved through binding arbitration as described in Section 15, unless an exception applies.
15. Arbitration Agreement & Class Action Waiver
15.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Service, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
15.2 Exceptions to Arbitration
The following disputes are NOT subject to arbitration:
- Claims for injunctive or equitable relief to protect intellectual property rights
- Claims that may be brought in small claims court (under $10,000)
- Claims related to unauthorized access or fraud where immediate legal relief is needed
15.3 Class Action Waiver
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATIONS. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.
15.4 Opt-Out Right
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to legal@digipae.com with subject "Arbitration Opt-Out."
16. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via:
- In-app notification
- Email to your registered address
- Updating the "Last Updated" date on this page
For material changes that affect your financial rights, we will provide at least 30 days' advance notice.
