1. Acceptance & Relationship
By registering a business account, enabling payment acceptance, or using the business dashboard, QR tools, or APIs, you agree to these Merchant Terms on behalf of the Merchant, and you represent that you are authorized to bind the Merchant.
Digipae, operated by Ceivis LLC, provides payment-acceptance and money-transmission services as described in our Terms of Service (Section 6) and works with payment partners including Stripe. You are an independent business; nothing in these Merchant Terms creates a partnership, joint venture, employment, or agency relationship.
2. Merchant Onboarding (Know Your Business)
To accept payments, the Merchant must complete business verification ("KYB"). You agree to provide and keep current:
- Legal business name, structure, and registered address
- Employer Identification Number (EIN) or other tax identification
- Beneficial-ownership and control-person information as required by law
- A valid settlement (payout) bank account in the Merchant's name
- A description of the business, products/services, and expected volume
We may verify this information with third parties, request additional documentation, and decline or revoke onboarding at our discretion or as required by law, sanctions screening, or our payment partners' rules.
3. Merchant Account & Authorized Users
You are responsible for all activity under your Merchant account, including actions by authorized team members. Maintain the confidentiality of credentials and API keys, promptly remove access for departed personnel, and notify us at security@digipae.com of any suspected compromise. You are responsible for the accuracy of payout destinations you configure.
4. Accepting Payments
Merchants may accept payments via Digipae QR codes (static or dynamic), the business dashboard, and the POS API. You agree to:
- Charge only for bona fide goods or services you actually provide
- Present accurate amounts, descriptions, and your business identity at checkout
- Not impose surcharges or minimums except as permitted by law and applicable network rules
- Not use the Service to process payments on behalf of any other party (no aggregation/factoring) without our written approval
- Honor a clear refund and return policy and make it available to customers
5. Settlement & Payouts
Funds from completed transactions, net of fees, refunds, reversals, and any reserve or adjustment, are settled to your designated payout account on the schedule shown in your dashboard. Payout timing may vary based on risk review, banking days, and your payment partner's processing times.
We may delay, suspend, or redirect payouts to address suspected fraud, disputes, regulatory requirements, or a negative balance. You authorize us and our partners to initiate credits and debits to your payout account to settle amounts owed in either direction.
6. Merchant Fees

Fees are deducted from settled funds or charged to your account. We may change fees with at least 30 days' notice; continued use after the effective date constitutes acceptance.
7. Refunds, Reversals & Chargebacks
You may issue refunds through the dashboard or API. Refunds are returned to the customer's original funding source where possible. You are financially responsible for all refunds, reversals, returns, and chargebacks/disputes relating to your transactions, plus any associated fees.
- If a customer disputes a charge, you authorize us to debit the disputed amount and any fee pending resolution.
- You agree to cooperate and provide evidence to contest disputes within the timelines we communicate.
- Excessive disputes or refunds may result in reserves, increased fees, or termination.
8. Reserves, Holds & Setoff
To manage risk, we may require a reserve (a portion of your funds held as security), place holds on specific transactions, or set conditions on payouts. We will generally notify you of a reserve and its terms.
You grant us a right of setoff and a security interest in funds in your Digipae account to cover amounts you owe us, including negative balances, refunds, chargebacks, fines, and fees. If your account has insufficient funds, you agree to promptly pay the shortfall, and you authorize us to debit your linked or payout account to recover it.
9. POS API & Integrations
We grant you a limited, revocable, non-exclusive, non-transferable license to use our APIs and developer materials solely to integrate Digipae payment acceptance into your systems, subject to our documentation and these terms. You agree to:
- Keep API keys and secrets confidential and rotate them if compromised
- Respect rate limits and not use the API to build a competing payments service
- Not misrepresent data, bypass security, or exceed the scope of access granted
- Promptly adopt required updates and deprecate insecure versions on our reasonable timeline
We may modify, rate-limit, or discontinue API features with reasonable notice where practicable, and immediately where required for security or legal reasons.
10. Acceptable Use & Prohibited Businesses
Merchants must comply with the prohibited-uses list in our Terms of Service (Section 12) and with the restrictions of our payment partners. In addition, the following business categories are prohibited or restricted unless we agree in writing: unlawful gambling; illegal drugs or paraphernalia; weapons and regulated firearms; adult or sexually explicit services; pseudo-pharmaceuticals and unapproved supplements; multi-level-marketing and get-rich-quick schemes; unlicensed money services; and any business prohibited by Stripe or applicable card-network rules.
We may screen transactions and suspend acceptance for suspected violations.
11. Taxes & 1099-K Reporting
You are responsible for determining, collecting, reporting, and remitting all taxes arising from your sales. Where required, we or our partners will report your payment volume to the IRS and applicable states and issue a Form 1099-K. You must provide a valid taxpayer identification number; failure to do so may result in backup withholding or account restrictions. We do not provide tax advice.
12. Customer Data & Privacy
You may receive limited customer information to fulfill transactions. You agree to: use it only to process and support those transactions; protect it with appropriate security; comply with applicable privacy laws and, where you handle card data, with PCI DSS; and not sell or use it for unrelated marketing without the customer's consent. You will not store full card numbers or sensitive authentication data. Our handling of personal information is described in our Privacy Policy.
13. Term, Suspension & Termination
These Merchant Terms apply while your Merchant account is active. Either party may terminate with notice. We may suspend or terminate acceptance or payouts immediately for suspected fraud, excessive disputes, AUP violations, legal/regulatory requirements, or payment-partner direction.
On termination, you remain liable for transactions, refunds, chargebacks, and fees incurred before and after closure, and we may hold funds for a reasonable period to cover anticipated liabilities. Sections relating to fees, refunds/chargebacks, reserves/setoff, taxes, data, liability, and general provisions survive termination.
14. Representations & Warranties
You represent and warrant that:
- You are a lawfully operating business authorized to sell what you offer
- Your transactions are bona fide and not for a prohibited purpose
- The information you provide is accurate and kept current
- You will comply with all applicable laws, network rules, and these terms
15. Disclaimers & Limitation of Liability
Our aggregate liability to a Merchant for any claim is limited to the total fees we earned from that Merchant in the three (3) months preceding the event giving rise to the claim. You are responsible for losses arising from your transactions, including fraud, refunds, and chargebacks.
16. General Provisions
The dispute resolution, binding arbitration and class-action waiver, governing law, indemnification, and general provisions in our Terms of Service (Sections 21–25) apply to these Merchant Terms and are incorporated by reference. We may update these Merchant Terms as described in the Terms of Service (Section 26).
